1. Scope of Cooperation & Supply

These General Terms and Conditions of Sale apply to all contracts for the supply of mining spare parts, components, and consumables concluded between InduSource (hereinafter "Supplier") and the purchasing entity (hereinafter "Buyer").

  • Product Range: Genuine spare parts for Sandvik and Epiroc machinery, and approved aftermarket alternatives where explicitly agreed.
  • Territory: Global export compliance with strict adherence to international trade sanctions and dual-use goods regulations.
  • Validity: These terms supersede any purchasing conditions of the Buyer unless explicitly waived in writing by an authorized director of the Supplier.

2. Order Processing & Commercial Rules

Ordering Process

Orders are accepted solely based on Part Numbers (P/N). The Buyer assumes full responsibility for the accuracy of P/N references. All orders are subject to a formal Proforma Invoice (PI) issued by the Supplier.

Financial Terms

  • Minimum Order (MOQ) $5,000 USD
  • Standard Payment T/T 30% / 70%
  • Incoterms EXW / FOB / CIF
Lead Time Estimation

Stock items: 3-5 working days. Backorders: Subject to OEM global availability (typically 4-8 weeks). Expedited air freight available upon request.

3. Custom Manufacturing & Tooling Policy

For non-standard or obsolete parts requiring reverse engineering or custom fabrication:

Sampling Fees

Sample production fees must be prepaid in full. Fees are refundable against the first bulk order exceeding $20,000 USD.

Tooling & Mold Ownership

Molds remain the property of the Supplier to protect intellectual property and manufacturing techniques, even if partially subsidized by the Buyer, unless a "Full Transfer of Rights" agreement is signed.

4. Quality Assurance & Warranty

We guarantee that all supplied parts meet the material and dimensional specifications of the Original Equipment Manufacturer (OEM).

Inspection Rights

Pre-shipment inspection (PSI) by SGS or Bureau Veritas is permitted at Buyer's expense. Claims for visual defects must be lodged within 7 days of arrival.

Warranty Period

12 months from installation or 18 months from delivery. Warranty covers manufacturing defects only; normal wear and tear is excluded.

5. Liability & Dispute Resolution

Limitation of Liability: The Supplier's liability shall not exceed the invoice value of the defective goods. Consequential damages (downtime, loss of profit, machinery damage) are explicitly excluded.

Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control (e.g., raw material shortages, port strikes, government embargoes).
